1. Operator and Acceptance of Terms

ValorixAI is operated by Valentino Villatora, trading as ValorixAI, at Camino Viejo de San Ginés 52, El Palmar, 30120 Murcia, Spain.

By accessing or using ValorixAI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ValorixAI provides AI-assisted Etsy listing-draft tools for sellers. The Service includes Text-to-SEO and Image-to-SEO generation, credit-based usage, and subscription management through Lemon Squeezy.

Features, models, or parts of the Service may be modified, suspended, restricted, or discontinued for maintenance, security, legal, technical, or business reasons.

3. Etsy Boundary

ValorixAI is independent and is not affiliated with, endorsed by, sponsored by, or operated by Etsy, Inc. ValorixAI does not publish listings to Etsy. You are responsible for reviewing generated content and ensuring your listings comply with Etsy policies and any laws or rules that apply to your products.

4. User Accounts

To use the Service, you must:

be at least 18 years of age or have legal authority to use the Service;
provide accurate and complete registration information;
maintain the security of your account credentials;
accept responsibility for all activities under your account.

You may sign up using email/password or Google OAuth. You are responsible for maintaining the confidentiality of your account.

5. Subscription Plans, Billing, and Price Changes

ValorixAI offers the following public plans:

Free: 10 one-time credits, no payment required.
Starter: current discounted price $6.99/month, discounted from $9.99/month, with 50 credits per billing cycle.
Premium: current discounted price $14.99/month, discounted from $19.99/month, with 200 credits per billing cycle.

Paid subscriptions are sold and billed through Lemon Squeezy as Merchant of Record. By subscribing to a paid plan, you authorize Lemon Squeezy to charge your payment method for the selected subscription and any applicable taxes or fees. Subscriptions renew automatically unless canceled.

Material price or plan changes will apply no earlier than a future renewal date where reasonably possible. We will provide reasonable notice where practicable, and you may cancel before those changes take effect.

6. Credits and Usage

The Service operates on a credit-based system:

Text-to-SEO generation consumes 1 credit.
Image-to-SEO generation consumes 2 credits.
Regenerating individual sections (titles, description, tags) consumes 1 credit per action.
Paid-plan credits reset at renewal and do not roll over into the next billing cycle.
Unused Free credits remaining at a user's first upgrade are preserved as bonus credits.

7. Consumer Rights, Cancellation, and Refunds

Nothing in these Terms limits mandatory consumer rights that cannot legally be limited or waived. If you use the Service as a consumer, you may have mandatory rights under the laws of your country of habitual residence.

EEA/UK-style 14-day withdrawal rights may apply to some purchases, subject to digital service/content exceptions and the Refund Policy.

You may cancel your subscription at any time from your account settings or via the Lemon Squeezy customer portal. Cancellations take effect at the end of the current billing cycle. Refunds are handled in accordance with our Refund Policy.

8. Acceptable Use and Upload Restrictions

You agree not to:

use the Service for any illegal, fraudulent, harmful, or unauthorized purpose;
upload content you do not own or do not have the right to use;
upload or generate content that infringes third-party intellectual property, privacy, publicity, or other rights;
upload personal data that you cannot lawfully process or provide to the Service;
upload malware, malicious code, or content intended to disrupt or compromise the Service;
generate or publish misleading product claims, unlawful claims, or content that violates platform or marketplace rules;
attempt to circumvent rate limits, credit systems, or security measures;
reverse engineer, decompile, or extract the underlying AI models;
resell, sublicense, or redistribute the Service without authorization;
use automated scripts or bots to abuse the Service.

9. AI Output and User Responsibility

AI-generated output may be inaccurate, incomplete, misleading, non-unique, or unsuitable for your product, audience, marketplace, or legal requirements. You must review and verify all generated content before publishing or using it.

ValorixAI does not guarantee sales, rankings, traffic, conversions, factual accuracy, legal compliance, uniqueness, or that generated output will meet your expectations.

10. No Professional Advice

ValorixAI does not provide legal, tax, accounting, trademark, regulatory, safety, or business advice. You are responsible for obtaining professional advice where appropriate.

11. Intellectual Property and Generated Content

Your Content: You retain ownership of product information, images, and other content you upload. By using the Service, you grant ValorixAI a limited, non-exclusive, worldwide license to host, copy, transmit, technically modify, and process uploaded content only as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the Service, and comply with legal obligations.

Generated Content: As between you and ValorixAI, and to the extent permitted by applicable law, ValorixAI assigns to you any rights it may have in listing-draft output generated specifically for your account.

AI-generated output may not qualify for intellectual property protection and may be similar or identical to output generated for other users.

Service Materials: The Service, including its design, code, systems, and branding, remains owned by Valentino Villatora trading as ValorixAI or the relevant licensors and is protected by applicable intellectual property laws.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT GENERATED CONTENT WILL MEET YOUR EXPECTATIONS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VALORIXAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PAST 12 MONTHS.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, wilful misconduct, gross negligence where applicable, or mandatory consumer rights.

14. Account Suspension, Termination, and Data Retention

We may suspend or terminate your account where we reasonably believe there has been a breach of these Terms, fraud, abuse, a security risk, unpaid amounts, or unlawful use of the Service. Immediate suspension may be used where necessary to protect the Service, users, third parties, or legal compliance.

You may request account deletion from your account settings. Data will be deleted or anonymized according to the Privacy Policy and retention schedule, except limited retention for legal obligations, billing/tax records, fraud prevention, security, backups, disputes, or enforcement.

15. Privacy and Data Protection

Processing of personal information is described in the Privacy Policy. ValorixAI complies with applicable data protection laws, including GDPR where applicable.

16. Governing Law and Courts

These Terms are governed by the laws of Spain.

If you use the Service as a consumer, this choice of law does not deprive you of any mandatory protections available under the laws of your country of habitual residence.

For users acting in the course of a business or profession, disputes shall be subject to the courts of Murcia, Spain, unless mandatory law requires otherwise.

17. Changes to Terms

We may modify these Terms from time to time. Material changes will receive reasonable advance notice where practicable, such as by email or a notice in the Service. You may stop using the Service or cancel your subscription before material changes take effect. Your continued use after changes take effect constitutes acceptance of the updated Terms.
